QWESTLY EMPLOYMENT AGREEMENT AND CONFIDENTIALITY TERMS

This Agreement is between Qwestly, Inc. (“Qwestly” or “the Company”) and the undersigned employee (“you” or “Employee”).

1. Employment Terms

• Your employment is at-will and may be ended by either you or Qwestly at any time, for any reason.

• You agree to follow all company policies and act in Qwestly’s best interest.

2. Work Exclusivity

• While employed by Qwestly, you agree not to:

  • Work for another company, whether paid or unpaid, without written consent.

  • Accept consulting work, freelance gigs, or equity-based compensation from another company, unless approved in writing by Qwestly.

3. Confidentiality

• You agree to keep Qwestly’s confidential information private. This includes anything not public, like:

  • Source code

  • Product plans

  • Internal tools

  • Business strategy

  • Customer data

  • Pricing and financials

• You agree not to share confidential info with anyone outside Qwestly, during or after your employment.

4. Intellectual Property

• Any work you create while working at Qwestly that relates to our business belongs to Qwestly. This includes software, designs, documentation, and inventions.

• You agree to sign documents later if needed to transfer IP rights to Qwestly.

5. Non-Compete and Non-Solicit (California Compliant)

• You agree not to use or share Qwestly’s confidential information to help a competitor or to start a competing business.

• You also agree not to solicit Qwestly customers, partners, or employees to leave or switch business, for 12 months after leaving Qwestly.

• This clause is limited to what is enforceable under California law (we know true non-competes are unenforceable here).

6. Return of Materials

• When you leave Qwestly, you agree to return all company property, documents, and data.

7. Entire Agreement

This document is the full agreement between you and Qwestly on these topics. It overrides any previous understandings.
